B. Informal Resolution First. Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute informally. The parties will have 30 days from receipt of the notice to attempt resolution.

C. Arbitration Procedure. If the dispute is not resolved informally, it shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in effect at the time of filing. The arbitration shall take place in San Diego County, California and it shall be conducted before a single neutral arbitrator. The arbitrator shall have authority to award any relief available under applicable law. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs unless otherwise awarded by the arbitrator under applicable law.

D. Waiver of Jury Trial. By agreeing to arbitration, both parties waive the right to a trial by jury or to participate in a court proceeding, except to enforce an arbitration award or as otherwise permitted by law.

E. Class Action Waiver. To the fullest extent permitted by law, disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding. The arbitrator shall not have authority to consolidate claims or preside over any form of representative or class proceeding.

F. Exceptions. Notwithstanding the foregoing:

  • Either party may bring an individual claim in small claims court, if eligible.
  • Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property rights.

G. Severability. If any portion of this Arbitration section is found unenforceable, the remaining provisions shall remain in full force and effect, except that if the class action waiver is deemed unenforceable, this entire Arbitration section shall be null and void.

12. Modifications to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
